Marketplace Seller Agreement

These terms govern selling adventure packages and related content on the Evolve RPG marketplace. You accept the current version of this agreement before you publish a paid listing; if the agreement is updated, you re-accept the new version before your next paid publish.
This is a plain-language summary, not legal advice. This agreement is governed by the laws of New South Wales, Australia (Evolve Simulations Pty Ltd, Sydney, NSW, Australia).
Marketplace Seller Agreement
This Seller Agreement governs your sale of adventure packages and related content ("Content") through the Evolve RPG marketplace, operated by Evolve Simulations Pty Ltd ("Evolve", "we", "us"). By accepting these terms you agree to be bound by them each time you publish a paid listing.
You sell Content as an independent creator. Nothing in this agreement creates an employment, partnership, agency, or joint-venture relationship between you and Evolve. You set your own prices in the currencies we support; Evolve facilitates the sale as merchant of record, collects payment through Stripe, deducts the platform fee, and remits the balance to your connected Stripe account.
Trader identity and traceability. If you offer Content to consumers in the European Union, you are a “trader” under the EU Digital Services Act (Regulation (EU) 2022/2065). Before your Content can be shown to EU consumers, and on our request thereafter, you must give us and let us verify: your name; the address, telephone number and email at which we can reach you; a payment-account identifier; and, where applicable, your trade-register or equivalent registration number and a self-certification that you will only offer compliant Content (DSA Art 30). You authorise Evolve to verify this information using freely available reliable databases or online interfaces, and you must correct it promptly if it becomes inaccurate. We may suspend your listings to EU consumers if you do not provide or correct this information.

- You may only list Content you have the right to sell (see the IP & rights warranty below).
- You must keep your creator profile and payout (Stripe Connect) details accurate.
- If you sell to EU consumers you must provide and let us verify trader-identity details (DSA Art 30) before your Content is shown to them.
- Evolve may remove a listing, withhold a payout, or suspend a seller for a breach of these terms, a valid rights complaint, or a legal/compliance requirement.
Refund policy
Evolve is the merchant of record for every marketplace sale (payments are collected by Evolve through Stripe and the balance remitted to you). Because of this, Evolve — not you — decides and processes buyer refunds, chargebacks and disputes under the buyer-facing marketplace terms and applicable consumer law. This section explains how a buyer refund affects your creator share.
When a buyer is refunded, or a payment is charged back or disputed, the sale is reversed in full: the buyer’s access to that package is revoked, and the corresponding gross amount, platform fee, and your creator share are all reversed in the ledger. Refunds are processed as a FULL reversal of the original sale — partial refunds are not offered in this release. A reversed sale reduces your net payable balance by the creator share you were originally credited.
Refunds may be required by law even where our discretionary policy would not offer one. Nothing in this agreement or in the buyer-facing terms excludes, restricts or modifies the consumer guarantees under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any equivalent non-excludable statutory rights a buyer has in their own country. In particular, buyers retain statutory remedies where Content is faulty, not as described, or not of acceptable/satisfactory quality — for example under the EU Digital Content Directive (Directive (EU) 2019/770), the UK Consumer Rights Act 2015 (ss 34–37 for digital content), and the Australian Consumer Law (s 54, s 55, s 60). These faulty/not-as-described remedies are separate from, and are not waived by, any “no change-of-mind refund after delivery” rule.
Because packages are digital content delivered immediately on purchase, the buyer-facing terms capture the buyer’s express consent to immediate performance and the buyer’s acknowledgment that they lose the EU/UK 14-day right of withdrawal for change of mind once delivery begins (Consumer Rights Directive 2011/83/EU Art 16(m); UK Consumer Contracts Regulations 2013 reg 37). You accept that Evolve operates this consent-capture on your behalf and that you must not describe or list Content in any way inconsistent with it (for example, you must not promise “no refunds” or “all sales final” without preserving these statutory rights — such wording can breach the ACL, s 29(1)(m) and s 64, with penalties up to AU$50 million).
Chargebacks and payment disputes raised through the buyer’s bank or card network are handled by Stripe and Evolve and are treated as reversals in the same way.
- Evolve is the seller/merchant of record and handles all buyer refunds, chargebacks and disputes.
- Refunds and chargebacks reverse the whole sale, including your creator share; access to the package is revoked.
- No listing may exclude a buyer’s non-excludable consumer guarantees (ACL / EU 2019/770 / UK CRA) — do not advertise “no refunds” or “all sales final”.
- Statutory remedies for faulty or not-as-described Content survive any “no change-of-mind” rule.
- Partial refunds are not modelled; a refund is always for the full purchase.
Payout schedule
Your creator share accrues to your marketplace balance as sales settle. Payouts are made to the Stripe Connect account you onboard, on Stripe’s standard rolling payout schedule, once your account is fully enabled (identity verification and a valid payout method completed).
Evolve does not guarantee a fixed payout date and does not advance funds before a sale has settled. Payouts may be delayed or withheld where a sale is under dispute, where funds have not yet settled, or where required for fraud, tax, or legal-compliance reasons.
Net payable is calculated as the sum of your creator share across settled sales, less any reversed sales (refunds, chargebacks, and disputes).
- Payouts require a fully-enabled Stripe Connect account.
- Payouts follow Stripe’s standard rolling schedule; no fixed date is promised.
- Reversed sales are netted out of your payable balance before payout.
Intellectual-property & rights warranty
Before you may publish a paid listing you must attest that you hold the commercial rights to sell the Content, declare its origin (original, licensed, or derivative), and supply any attribution that the origin or license requires. That attestation is a condition of every paid publish and is recorded against you.
You warrant that your Content does not infringe the intellectual-property, publicity, or other rights of any third party, and that any open-licensed material (for example SRD, OGL, or Creative Commons content) is used within the terms of its license and is attributed where required.
You agree to indemnify Evolve against claims arising from Content you sell in breach of this warranty. Evolve may remove a listing and reverse affected sales on receipt of a valid rights complaint.
Your indemnity of Evolve under this section is an obligation between you (a business) and Evolve (a business). It does not reduce, and cannot be relied on to reduce, any right or remedy a buyer has against Evolve under consumer law; buyer-facing terms remain governed by the marketplace-of-record disclosure and the non-excludable consumer guarantees referenced in the refund policy.
- You must attest commercial rights, origin, and attribution before each paid publish.
- You warrant your Content is non-infringing and that licensed material is properly attributed.
- Valid rights complaints may result in removal and reversal of affected sales.
